Department Profile
Legal and Compliance Department Center of Excellence (“LCDCOE”) is an extended arm of different global Legal and Compliance (LCD) teams. Similarly, Company Secretarial (CoSec) team at the LCDCOE is embedded within global LCD. CoSec team at the LCDCOE will support global CoSec teams on various company secretarial tasks offshored to LCDCOE.
Roles & Responsibilities
- Assisting Morgan Stanley group firms in India that provide financial services with corporate secretarial services.
- Assisting in achieving a high quality of corporate governance, holding board and committee meetings, preparing post- and pre-meeting documentation, ensuring essential filing, monitoring compliances, record keeping, and providing relevant corporate secretarial support under various jurisdictions.
- Assisting in maintaining statutory books, including registers of members, directors and secretaries for the group entities;
- Assisting in drafting minutes, drafting resolutions, lodging required forms and annual returns with company registries for the group entities;
- Assisting in organizing and preparing agendas and papers for board meetings, committees and shareholder meetings;
- Adhoc activities under Companies Act, 2013 like merger, capital infusion, buy-back, conversion of shares etc.
- Maintaining corporate records on entity management platforms such as Blueprint OneWorld;
- For the Resolution and Recovery plan, assist with legal entity data provision, operational risk mapping, and capacities assessment exercises.
- Make suggestions for improvements to the process.
Skills Required
- Completed Company Secretarial course
- Technical ability and strong verbal and writing communication skills are required.
- Excellent English, both written and spoken
- Microsoft Office Suite experience (Word, Excel, Power Point)
